1. Acceptance of Terms

By accessing or using Tellen (the "Service"), operated by Heruismo LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Tellen is a multi-tenant software-as-a-service (SaaS) platform for generating electronic tax documents (comprobantes electrónicos) compliant with Ecuador's Servicio de Rentas Internas (SRI). The Service allows users to manage businesses, contacts, products, stores, emission points, and generate electronic invoices.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Submit false, inaccurate, or misleading information to the SRI through the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit any malware, viruses, or harmful code.

5. Digital Certificates

You are solely responsible for obtaining, maintaining, and safeguarding your PKCS#12 digital certificates required for signing electronic documents with the SRI. We store your certificates securely but are not responsible for certificate expiration, revocation, or misuse.

6. SRI Compliance

While the Service is designed to generate documents compliant with SRI regulations, you are solely responsible for ensuring the accuracy and completeness of the information contained in your electronic documents. We do not guarantee that the SRI will authorize any specific document.

You acknowledge that SRI regulations may change, and we will make reasonable efforts to update the Service accordingly, but we are not liable for any penalties, fines, or damages resulting from regulatory changes or SRI rejections.

7. Fees and Payment

The Service may be offered under various pricing plans. By subscribing to a paid plan, you agree to pay the applicable fees. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with reasonable notice.

8. Data Ownership

You retain ownership of all data you submit to the Service, including business information, contact details, product catalogs, and invoice data. We do not claim ownership of your data.

You grant us a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We are not liable for any downtime, data loss, or service interruptions, whether planned or unplanned.

The Service depends on third-party systems, including the SRI web services. We are not responsible for the availability or performance of these external systems.

10. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of Heruismo LLC. These Terms do not grant you any rights to our trademarks, service marks, or trade names.

11. Limitation of Liability

To the maximum extent permitted by law, Heruismo LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Heruismo LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via the Service or email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Wyoming.
